    Commercial Property – FAQs

    A Landlord or Tenant is not legally obliged or bound to obtain legal advice when granting or taking a commercial lease but it is prudent and certainly in both parties interests to do so. Legal advice will ensure that what has been agreed between the parties is formally and properly documented in accordance with statute and market practice. Separately the lease will also dictate how the Tenant may use the salient property, what the level of rent will be (and on what basis this may be increased), what alterations the Tenant may make to the property, the terms and conditions of obtaining the Landlord’s consent to an assignment or underletting etc; This list is not exhaustive and there are many considerations that need to be properly negotiated and properly drafted! From a Landlord’s point of view it is of course also important that the lease is properly drafted to ensure that financial interests are protected as well as protecting the property both physically and reputationally.

    Separately the lease will also impose obligations on both parties after the letting has ended and from a Tenant’s point of view this may include a full repairing obligation. In such a situation the Tenant will be obliged to fully repair the property even if at the outset of the term the property was in a bad state of repair and condition. Such a financial liability also know as dilapidations could be extremely disproportionate to the level of rent paid.

    Whilst obtaining legal advice by a Landlord or Tenant is not a statutory legal obligation or requirement, it is certainly very prudent to do so.

    That will depend upon the value of the transaction, the complexity, as well as whether the Tenant will be entering into ancillary transaction documents (i.e. these may include but are not limited to a Rent Deposit Deed, Licence to Alter, Wayleave Agreement, Personal Guarantee etc). There will be other potential registration costs, notably for the Land Registry or for Companies House as well as other necessary due diligence costs such as searches and surveys.
